Company registration Cyprus: register a company with us

Company formation in Cyprus usually means a private limited company: one shareholder is enough and there is no minimum share capital. We register it, set up directors and shareholders and prepare your bank account application; a licensed Cyprus advocate signs the incorporation forms, as the law requires, and the bank decides.

How long does company registration in Cyprus take?

Registration at the Registrar of Companies usually takes one to three weeks after the name is approved. The bank account often takes longer, because the bank reviews the owners, the source of funds and the business plan. We prepare that file at the same time, so the account can open soon after the company exists.

Questions

How do I register a company in Cyprus?

Four steps: approve the name (€10 per name), have a lawyer file forms HE1–HE3 with the memorandum and articles at the Registrar of Companies (€165 for a company with share capital), register for tax and VAT if needed, and enter the beneficial owners in the UBO register within 90 days. It usually takes one to three weeks; the bank account often takes longer.

Do I need a local director?

No. One director aged 18 or over is enough. From 2026 a Cyprus-incorporated company is tax resident here by default unless a tax treaty says otherwise; real management in Cyprus still matters for banks and treaty cases.

How long does the bank account take?

Often longer than the registration itself.

Is there a minimum share capital for a Cyprus company?

Not for a private company. Only a public company offering shares for subscription needs at least €25,629.

How much does company registration cost at the Registrar?

€165 for a company with share capital (€235 without), €100 more for accelerated registration, and €10 per name checked.

Who files the incorporation?

A lawyer: the statutory declaration HE1 is signed and sworn by the lawyer entrusted with the incorporation.
